ART. 1 – Name and Registered Office
A non-partisan, non-profit cultural association is hereby established under the name “ExtremeSportMed”, or in full “International Society of Medicine for Outdoor Physical Activity and Extreme Sports”.
It is governed by this statute and by the applicable laws in force.
The Association has its registered office in Imola (BO). The Association may also establish branch offices, including temporary ones.
The transfer of the registered office does not entail an amendment to the statute, but must be communicated to the competent authorities.
The Association has national relevance, with sections or representations in at least twelve regions and autonomous provinces, including through affiliation with other societies or associations of the same profession, specialty, or discipline.
In order to improve the management of activities across the territory, it may establish Regional or Interregional Sections, regulated by a specific internal regulation.
The Association also has international relevance and may establish sections abroad.
ART. 2 – Purpose and Activities
2.1. The Association carries out scientific, clinical, educational, and cultural promotion activities in the field of medicine applied to sport in general, and more specifically to extreme sports and outdoor physical activity.
Included within the scope of interest of the Association are sporting activities that may be considered extreme due to the level of physical exertion (e.g., marathons and ultramarathons), environmental conditions (e.g., mountain and underwater activities), or the type of technical skill required (e.g., parkour, skydiving). The Association’s interest extends to such activities regardless of whether participation is amateur or competitive, explicitly including extreme sports that are part of Olympic programs (e.g., skiing, snowboarding, kiteboarding, triathlon, sport climbing, sailing, mountain biking).
2.1.2. The Association’s scope of interest also includes physical activity practiced outdoors, in accordance with the definition of physical activity provided by the World Health Organization.
2.1.3. The Association does not promote, encourage, or incite the practice of risky or potentially risky activities. It always operates to protect health and promotes a conscious and responsible approach to sport.
2.2. The Association, and those acting in its name and on its behalf, are non-profit entities, neither directly nor indirectly, are autonomous and independent, do not carry out commercial activities nor participate in them, except for activities that may be conducted within the framework of the National Continuing Medical Education Program (ECM), and pursue exclusively purposes of general interest and social utility in promoting scientific research.
The Association does not include among its institutional purposes the protection of members’ trade union interests, nor does it directly or indirectly carry out trade union activities.
2.3. The Association undertakes to ensure that at least 30% of its members having voting rights must be physicians registered with the professional register, not retired and practicing, even if not exclusively, in the field of medicine of extreme sports and outdoor physical activity, which represents the specific field of intervention of the research activity of this scientific association.
In particular, for the purposes of representativeness pursuant to the Ministerial Decree of 2 August 2017 (note of 23 October 2017), the scientific society is representative of those physicians who practice in the field of medicine of extreme sports and outdoor physical activity.
Without prejudice to the interdisciplinary nature of this Association, pursuant to Ministerial Decrees of 4 February 2015 no. 68 and 16 September 2016 no. 716 and Presidential Decree 484/1997, the following specializations are identified as of predominant interest: Sports and Exercise Medicine, Orthopaedics and Traumatology, Anaesthesia, Intensive Care and Pain Therapy, Diagnostic Radiology, Emergency Medicine.
The following disciplines are also identified as of predominant interest: Sports Medicine, Orthopaedics and Traumatology, Anaesthesia and Intensive Care, Endocrinology, Physical and Rehabilitation Medicine, Diagnostic Radiology, Emergency and Acute Care Medicine.
2.4. The Association pursues the following aims:
2.4.1. To contribute to the advancement of medical science in general, with particular reference to medicine applied to extreme sports and outdoor physical activity.
2.4.2. To promote knowledge and recognition of the specific characteristics of medicine applied to the activities referred to in point 2.1.1. Such characteristics mainly reflect:
a) sports practice in uncontrolled or poorly controlled environmental conditions (as opposed to the controlled environments typical of traditional sports);
b) performances involving sports equipment or specific means (e.g. boats, devices and means for free flight);
c) environmental exposures (e.g. photo-exposure);
d) long duration of sports performance.
2.4.3. To promote knowledge and dissemination of appropriate systems and methods for scientific research dedicated to the activities defined in point 2.1.1, with particular reference to the following aspects:
a) the need for sport-specific evaluation parameters;
b) environmental limitations of scientific research in outdoor settings;
c) possible legal implications related to the practice of sports in particular environments, urban or natural;
d) confounding factors intrinsically linked to the characteristics of extreme sports (unpredictable environmental variables, high accelerations and speeds, prolonged psycho-physical effort, practice at high altitudes or underwater);
e) difficulty in involving athletes with particular cultural habits (e.g. youth counter-culture typical of certain practitioner groups).
2.4.4. To promote awareness among researchers, institutional stakeholders and society of the socio-cultural aspects that characterize the activities referred to in points 2.1.1 and 2.1.2, as well as the specific beneficial effects in terms of psycho-physical health that may derive from such activities. Among the thematic areas of interest of the Association are:
a) the fight against sedentary lifestyles and the role in prevention (e.g. reduction of risk profiles for cardiovascular, metabolic and respiratory diseases, and musculoskeletal health), also in specific population groups (e.g. children and adolescents);
b) therapeutic role in numerous conditions (e.g. diabetes, psychological disorders, substance abuse);
c) psycho-social and relational role (e.g. promotion of resilience, improvement of interpersonal relationships, facilitation of collaborative processes, promotion of positive relationships with the natural environment and pro-environmental behaviors);
d) participation of individuals with psycho-physical limitations and disabilities.
2.4.5. Scientific research, education, and dissemination in the field of medicine applied to the activities described in points 2.1.1 and 2.1.2, specifically concerning:
a) injuries and related pathologies (epidemiology, risk factors and traumatic and/or pathogenetic mechanisms; risk prevention and management; diagnosis, treatment, rehabilitation, and return to sport), with particular reference to the specific considerations mentioned in point 2.4.2;
b) medical assistance at mass sporting events (e.g. marathons and triathlon competitions), also considering specific environmental risk factors (e.g. heat stroke, drowning) and the nature of the required performance (e.g. muscular exhaustion, dehydration);
c) diagnostic and therapeutic options (e.g. orthopedic surgery, arthroscopic surgery, image-guided interventional therapy, physical therapy, physiotherapy, adapted physical exercise), both traditional and advanced (new surgical techniques, new biotechnological, engineering and ergonomic applications, new rehabilitation and treatment protocols for injuries and diseases affecting participants).
2.4.6. To promote and develop:
(i) collaborations in the healthcare field;
(ii) research and clinical trials;
(iii) the drafting of guidelines with the Ministry of Health, Regions, Local Health Authorities, Health Service Agencies, and public and/or private bodies and institutions.
To promote the development and coordination of matters of interest to the Association within all structures and by intervening at all institutional levels of healthcare planning and resource verification.
2.4.7. To develop, define and standardize clinical-operational standards, including through the use of information systems and the creation of an official data archive.
To organize systems for quality verification and certification of the activities carried out.
2.4.8. To collaborate with the Italian National Olympic Committee (CONI), the International Olympic Committee (IOC), national and international sports federations, and other authorities and institutions, governmental and non-governmental, regarding:
a) organization of sporting events;
b) drafting of guidelines, recommendations, safety standards and technical-scientific documents;
c) data collection systems and incident reporting;
d) consultancy and support to athletes, coaches, and trainers;
e) planning, design, and delivery of educational and informational events related to physical activity, sport, and applied sports medicine.
2.4.9. To collaborate with other scientific societies and associations, institutions, and public and private entities in the drafting of guidelines, procedures, protocols, and diagnostic-therapeutic pathways involving physicians (e.g. general practitioners, physiatrists, sports physicians, radiologists, orthopedists) and healthcare professionals (e.g. physiotherapists, exercise and sport science professionals, nurses, psychologists, nutritionists, and other professional figures).
2.4.10. To promote the cultural and scientific development of members by organizing educational and conference initiatives, including through the design and delivery of courses and training events within the framework of Continuing Medical Education (CME/ECM). To promote the training of professionals who operate or intend to operate in the sector, using means and tools deemed appropriate from time to time, including training courses, internships, and expeditions.
To promote recognition of the professionalism of Members. To promote knowledge and scientific dissemination in the fields of interest of the Association, also beyond the circle of members, through congresses, conferences, and seminars, including in collaboration with other entities and associations.
2.4.11. To promote and encourage study, research, development, and dissemination of technologies useful for monitoring, assisting, evaluating, and treating individuals engaged in extreme sports and outdoor physical activity, including:
a) technologies suitable for direct data collection in the field (e.g. wearable devices);
b) telemedicine, remote management, and telehealth.
2.4.12. To encourage exchange of ideas and experiences among Italian and international specialists interested in the sector. To promote, at national and international level, scientific research and educational and training activities in the areas referred to above, also through the organization and management of scientific content on the institutional website and editorial initiatives.
Editorial initiatives include: organization and participation in scientific publications, books or scientific journals; participation in or promotion of Special Issues or Thematic Issues of international journals on topics relevant to the Association’s areas of interest; as well as the official journal of the Association.
2.4.13. The Association operates to safeguard ethical and deontological principles in the professional and scientific field and to disseminate the criteria of evidence-based medicine.
2.4.14. In order to achieve its statutory objectives, the Association may:
i) promote and coordinate multicenter research and studies; collaborate in various capacities with other societies, entities, and national or international organizations with similar purposes; affiliate with other scientific societies; promote the establishment of working groups, sections (in Italy and abroad), representations or other institutions functional to achieving its scientific objectives;
ii) organize and carry out scientific events; editorial initiatives (print, audiovisual, web and multimedia); courses and schools for professional training and advanced education, also with the support of external consultants; activities in the field of information and communication technologies;
iii) participate with institutional representation in congresses, symposia, conferences, meetings, and study seminars in the areas mentioned above, and provide adequate communication and promotional support for all the initiatives specified above.
ART. 3 – Members
3.1. Members of the Association are ordinary members and honorary members.
3.1.1. Ordinary members
Italian or foreign citizens who have reached the age of eighteen, share the purposes of the Association, and pay the membership fee established by the Members’ Assembly may become members.
The following may be admitted to the Association: medical doctors specialized in Sports and Exercise Medicine, Physical and Rehabilitation Medicine, Orthopaedics and Traumatology, Emergency and Urgent Care Medicine, Radiodiagnostics, Anesthesia and Intensive Care, general practitioners, or those with specializations different from the aforementioned who practice, even if not exclusively, medicine related to physical activity performed outdoors or extreme sports.
Given the inter-categorical and interdisciplinary nature of the Association, graduates in non-medical fields may also join, including, but not limited to, Engineers, Health Professions, and Sports Sciences, who carry out professional or research activities, even if not exclusively, in the field of medicine related to physical activity performed outdoors or extreme sports.
To obtain the status of Ordinary Member, a written application must be submitted to the President of the Association, accompanied by a brief curriculum vitae attesting to scientific and/or cultural activities related to the field of medicine of extreme sports and physical activity practiced outdoors.
Associate Members are those aforementioned professionals who are interested in or intend to dedicate themselves to this field and who have applied for admission as ordinary members, but whose application has not yet been accepted.
Membership in the Association is granted, without limitation, to all individuals operating within the various structures and sectors of activity of the National Health System (hospital companies, Local Health Authorities, university institutions, IRCCS, classified hospitals, accredited private healthcare facilities, etc.) or in private professional practice; or those engaged in professional activities in medicine applied to extreme sports and physical activity practiced outdoors.
Each ordinary member has the right to participate in ordinary and extraordinary Assemblies with voting rights, to be eligible for all social offices, and to propose to the Board of Directors new topics of work.
The percentage of non-healthcare professionals among members may not exceed 3% (three percent) of the total number of healthcare professionals.
3.1.2. Honorary Member
An honorary member is one who has carried out particularly meritorious activities in fields of interest to the Association or has acquired merits of particular distinction in the culture of the field.
Athletes or non-medical professionals who are distinguished in various capacities and/or have made a significant contribution to technical-scientific progress in the fields of interest of the Association may also be admitted as honorary members.
This status is conferred by the Board of Directors upon approval by majority vote. Honorary members do not have voting rights and are not eligible for social offices.
3.1.3. Supporting Member
Supporting members are individuals or entities that support the Association’s activities through a financial contribution. Supporting members do not have voting rights and are not eligible.
3.2. Membership implies knowledge and acceptance of this Statute and of the internal regulations. The body responsible for deciding on applications for ordinary membership is the Board of Directors.
Membership is granted for an indefinite period, without prejudice to the right of withdrawal, which must be exercised by written notice addressed to the Board of Directors.
Membership in the Association is free and voluntary, but it binds members to comply with the resolutions adopted by its representative bodies, according to statutory provisions and the internal regulations.
Participation in the Association on a temporary basis is expressly excluded. Members have the right to vote for the approval and amendment of the Statute and Regulations and for the appointment of governing bodies.
Ordinary members have the right to elect the governing bodies and to be elected to them.
They have the right to be informed about the Association’s activities and to be reimbursed for expenses actually incurred in carrying out the activities performed.
Members must pay the membership fee within the established deadlines and comply with this Statute and any internal regulations.
Members shall carry out their activities within the Association mainly on a personal, voluntary and unpaid basis, without any profit motive, even indirect, according to their availability.
Members undertake to pay, by March 31 (thirty-first) of each year, the amount established by the Assembly.
Membership fees are neither transferable nor subject to revaluation.
3.3. Loss of membership status may occur:
a) due to death and/or declaration of incapacity to understand and to will;
b) by resignation;
c) for non-payment of fees;
d) for failure to comply with statutory and regulatory provisions;
e) whenever moral or material damage is caused to the Association;
f) for improper conduct deemed unworthy;
g) for conviction for infamous crimes;
h) when the member carries out or attempts to carry out activities contrary to social interests.
Expulsions referred to in letters a), d), e), f), g), and h) shall be accepted and declared by the Board of Directors without prior notice and shall take immediate effect.
An appeal against the expulsion decision may be submitted to the Assembly, which must be convened for this purpose by the Board of Directors within 15 (fifteen) days from the appeal; in such a case, the measure remains suspended until the Assembly’s resolution.
Loss of membership shall not entitle the member to claim any refund of sums paid for any reason.
ART. 4 – Governing Bodies
4.1. The governing bodies of the Association are:
- The General Assembly of Members;
- The Board of Directors;
- The President of the Board of Directors.
4.2. The election of statutory bodies takes place democratically by secret ballot and for a limited term. All positions are held on an unpaid basis, except for reimbursement of any expenses incurred in the performance of duties.
Persons who have been convicted by final judgment in relation to the Association’s activities may not hold positions or roles of representation, administration or promotion within the Association.
ART. 5 – General Assembly of Members
The Assembly is the sovereign body of the Association and is composed of all members.
It is convened at least once a year by the President of the Board of Directors, by April 30 (thirtieth), for the approval of the financial statement, by written notice, certified email (PEC) or email to be sent at least 8 (eight) days before the scheduled date, indicating date, place and agenda.
Other forms of convocation are also considered valid (e.g. WhatsApp, Twitter, social media, publication on the website), provided that they are capable of disseminating the notice of the meeting and the subject of discussion at least 8 (eight) days in advance. In cases of particular urgency, convocation by telephone call or telephone messaging is also permitted, provided that it is received at least 3 (three) days before the meeting date. The Assembly may be held remotely via video or teleconference, or in a hybrid format.
The Assembly is also convened whenever necessary, either on the initiative of the President or upon written request of at least one third of the members.
The Assembly may be ordinary or extraordinary. It is extraordinary when convened for amendments to the Statute or the dissolution of the Association. It is ordinary in all other cases.
ART. 6 – Duties of the Assembly
The Assembly must:
- approve the financial statement;
- determine the general programmatic guidelines of the Association’s activities;
- approve any internal regulations;
- elect the President and the Board of Directors;
- deliberate on any other matters assigned to it by law or by the Statute, or submitted to it for consideration by the Board of Directors.
ART. 7 – Validity of the Assembly
The ordinary Assembly is validly constituted on first call if the majority of members entitled to vote are present; on second call, at least 24 (twenty-four) hours later, regardless of the number of members present, in person or by proxy.
Remote voting and voting by correspondence are permitted. Each member has the right to one vote in the Assembly (a single vote), which may also be cast by proxy.
Resolutions of the ordinary Assembly are adopted by a majority of those present and represented by proxy and are expressed by open vote, except for matters concerning individuals and their qualifications (or when the Assembly deems it appropriate).
The extraordinary Assembly approves any amendments to the Statute with the presence of at least half plus one of the members and by resolution adopted by a majority of those present; it resolves on the dissolution of the Association and the allocation of its assets with the favorable vote of at least 3/4 (three quarters) of the members.
ART. 8 – Minutes of the Meetings of the Assembly of Members
The discussions and resolutions of the Assembly are summarized in minutes drafted by the Secretary and signed by the President. Each member has the right to consult the minutes and obtain a copy.
The communication of minutes, notices of meetings, and financial statements to all members may take place through means of communication suitable to provide proof of receipt, including email (even non-certified) and/or publication on the website.
ART. 9 – Board of Directors
9.1. The Board of Directors is composed of a minimum of 3 members and a maximum of 20 (twenty) members elected by the Assembly from among its members, except for those initially appointed at the time of the founding act.
The Board of Directors includes: the President, the Vice-President, the Secretary, the Treasurer, and the ordinary Board Members, elected by the Assembly. The outgoing President of the Board of Directors is also a member by right.
Past President, and the Founding Members. The Past President, at the end of the four-year term, will continue to be part of the Association as an Ordinary Member.
The Board of Directors is validly constituted when the majority of its members is present and adopts resolutions by majority vote of those present. The Board of Directors performs all acts of ordinary and extraordinary administration not expressly reserved to the Assembly, prepares and presents to the Assembly the annual report on the Association’s activities and the financial statement. In the event of a tie, the President’s vote counts double.
9.2. Duties of the Board of Directors are:
a) to direct the activities of the Association;
b) to organize scientific and cultural initiatives in general;
c) to determine the venue of any national congresses and to define and assign congress topics;
d) to appoint, from among the members, the components of specific working groups on particular scientific, organizational or managerial topics;
e) to deliberate on the admission of new members;
f) to deliberate on the termination of membership pursuant to Article 3.3 of this Statute;
g) to appoint honorary members;
h) to convene the Assembly of Members at least once a year;
i) to set annual membership fees for both ordinary and affiliated members;
l) to prepare the financial statement;
m) to elect some of the Association’s officers;
n) to appoint, upon proposal of the President, a Treasurer who may also not be a member of the Board;
o) to ensure publication of the Association’s scientific activities through the Association’s website, updated continuously.
The Board of Directors and the President remain in office for 5 (five) years for the first Board and 4 (four) years for subsequent ones, with no limit on re-election.
9.3. All members of the Association’s bodies shall act to prevent situations of conflict of interest with their work or role. Where they, their spouse, or members of their household have interests, including economic interests, in activities or decisions within their competence, or interests in conflict with those of the Association, they must declare the existence of the conflict of interest and inform the Board of Directors accordingly.
The Board of Directors is the body responsible for regulating any conflicts of interest and may order abstention from participation in individual activities or decisions in which such a conflict arises. The persons concerned by the measure are in any case considered present for the purposes of the validity of the constitution of the body to which they belong.
In situations, even temporary, involving particular interests that do not provide sufficient guarantees of impartiality in holding Association offices, the Board of Directors may order temporary suspension from office and/or require removal of the conditions of incompatibility within 60 (sixty) days, under penalty of forfeiture from all positions held.
ART. 10 – President
The President of the Association is also the President of the Board of Directors. The President directs the Association and has legal representation. The President convenes the Assembly of Members and the Board of Directors, both in ordinary and extraordinary sessions. In the event of a tie in voting, the President’s vote counts double.
ART. 11 – Assets and Financial Resources
The assets consist of: a) movable and immovable property that becomes owned by the Association;
b) any reserve funds constituted from budget surpluses.
The financial resources necessary to carry out the Association’s activities consist of:
a) membership fees and contributions from members;
b) additional payments made by members and/or affiliates of the national organization to which they belong, in relation to various social and/or complementary activities;
c) proceeds from the organization of events or participation in them;
d) contributions and sponsorships;
e) any type of donations or contributions made by third parties, including public and private entities (excluding contributions that may, even indirectly, create conflicts of interest with the National Health Service if provided through related entities);
f) proceeds deriving from any economic activities, without prejudice to the provisions of ART. 2 of this Statute;
g) any other income that contributes to increasing the Association’s assets.
The Association is prohibited from distributing, even indirectly, profits or operating surpluses, as well as funds, reserves or capital during the life of the Association, to directors, members, workers, collaborators, or third parties in general, unless the destination or distribution is required by law or is made in favor of entities that by law, statute or regulation are part of the same unified structure and carry out the same activity or other institutional activities directly and specifically provided for by current legislation.
The Association is required to reinvest any profits and operating surpluses exclusively for the development of activities functional to achieving its institutional purposes.
ART. 12 – Financial Year and Financial Statement
The financial year begins on January 1 and ends on December 31 of each year.
By May 31 following the end of each financial year, the Board of Directors prepares the final financial statement for the previous year and the forecast budget for the current year, which must be approved by the Assembly of Members by June 30 of each year.
The final financial statement consists of a summary document indicating the income and expenses relating to the past year.
The Association’s financial statement is prepared annually by the Board of Directors starting from January 1 of each year and is approved by the ordinary General Assembly with the majorities provided for in this Statute.
The Association’s financial statement must be approved by the Assembly of Members by June 30 of the year following the closing of the financial year.
Publication of the forecast and final financial statements and of paid positions on the Association’s official website is mandatory.
ART. 13 – Regional and National Representatives
The Board of Directors appoints, in each region of Italy or in foreign countries where members of the Association are present, at least one Regional or National Representative. The Representative must be a member of the Association in compliance with the payment of membership fees and must not have received final convictions in relation to activities carried out within the Association.
Representatives, who remain in office until the expiry of the Board of Directors that appointed them, act as representatives of the Association in their respective area, maintaining relations with professionals and local institutions, both public and private.
Any decision to be taken or activity to be carried out at the local level concerning the Association’s activities and representation must be agreed in advance with the Regional or National Representative and authorized by the Board of Directors.
Also, depending on the size of the geographic area represented, the number of members in that area, or specific areas of interest and expertise, more than one Regional or National Representative may be appointed; in such cases, the Board of Directors shall designate a Regional or National Coordinator to coordinate their work.
ART. 14 – Scientific Committee
The Board of Directors, also upon proposal of the Assembly of Members, may appoint a Scientific Committee (Scientific Board) that liaises with the President and the other bodies of the Association, performing advisory and guidance functions.
The Scientific Committee is the body responsible for verifying and controlling the quality of the activities carried out and the technical-scientific production, including “good practice” guidelines, to be assessed according to scientific productivity and bibliometric indices validated by the international scientific community, as well as according to indications issued by the relevant institutional bodies.
The members of the Scientific Committee are appointed by the Board of Directors, also upon proposal of the members.
Members of the Scientific Committee are preferably selected from among the Association’s members; however, experts of recognized professional standing in the scientific field who are deemed capable of adding value to the Committee’s purposes may also be appointed.
Members of the Scientific Committee are selected taking into account scientific productivity and bibliometric indices validated by the international scientific community.
In order to ensure the closest possible collaboration with associations recognized under current regulations as most representative of professionals operating in the sector and related fields, as well as of professionals working in outdoor and extreme sports medicine, as provided for in ART. 2 of this Statute, it is appropriate that experts from such entities be included in the working groups.
The rules for identifying members and for the functioning of the Scientific Committee and its working groups may be defined in specific regulations issued by the Board of Directors.
The Board of Directors ensures the publication and continuous updating of all scientific activities produced by working groups and validated by the Scientific Committee through the Association’s website, updated continuously.
ART. 15 – International Commission
The Board of Directors, also upon proposal of the Assembly of Members, may appoint an International Commission that liaises with the President and the other bodies of the Association, performing advisory and guidance functions.
The International Commission may be delegated by the President to maintain relations with the International Olympic Committee, Agencies, Bodies, and supranational Organizations, with foreign Universities, with international sports federations, and with other scientific societies and associations operating abroad, in the interest of the Association.
The members of the International Commission, although preferably appointed from among the Association’s members, may also be selected from experts of recognized professional standing in the scientific field who are deemed capable of adding value to the purposes of the Commission.
Among the members of the Commission are elected the Chairman and the Co-chairman who preside over it; in the absence of the Chairman due to resignation or any other cause, including failure to elect, the President of the Association assumes the role.
ART. 16 – Association Journal
The Association’s dissemination activities are mainly carried out through the institutional website and the official journal, if established. The journal, which may be distributed both electronically and in print, includes contributions from all international scientific contributors, as well as review articles of various kinds and documents related to the life of the Association, with particular regard to the activities of working groups and any commissions established.
ART. 17 – Competent Court
For any disputes in which the Association is a party, the sole competent court shall be that of Bologna (Italy).
ART. 18 – Dissolution
In the event of dissolution for any reason, the Assembly of Members shall resolve on the allocation of the Association’s assets to other non-profit associations with similar purposes.
ART. 19 – Internal Regulations
Specific rules for the functioning and implementation of this Statute shall be set out in internal regulations to be drafted by the Board of Directors and approved by the Assembly of Members.
ART. 20 – Final Provisions
For all matters not expressly provided for in this Statute, the provisions of the Civil Code and the applicable laws shall apply.
